Terms of Service

1. Acceptance of terms

By accessing or using FaceLearn.io ("the Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization, and "you" refers to both you and the organization.

If you do not agree to these terms, do not use the Service.

2. Eligibility

You must be at least 16 years old to create an account. If you are under 18, you must have permission from a parent or legal guardian.

If you are an institutional customer enrolling minors (for example, a school or training center), you are responsible for obtaining all necessary parental or guardian consents before enrolling those individuals in the Service.

3. Your account

• You are responsible for maintaining the confidentiality of your login credentials and API keys.
• You are responsible for all activity that occurs under your account.
• You must provide accurate information when creating an account and keep it up to date.
• Notify us immediately at security@facelearn.io if you suspect unauthorized access.
• One person or organization per account. You may not share accounts between multiple unaffiliated parties.

4. Acceptable use

You agree not to:

• Use the Service to violate any applicable law or regulation
• Enroll another person's face without their explicit, informed consent
• Attempt to bypass liveness detection, anti-spoofing, or authentication mechanisms
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use the Service to track, surveil, or profile individuals without their knowledge and consent
• Use the Service for any purpose that infringes on the rights of others
• Send spam, malware, or conduct phishing through the Service
• Interfere with or disrupt the Service, or attempt to gain unauthorized access to any part of it
• Resell, sublicense, or white-label the Service without a written agreement with us
• Exceed rate limits or abuse free-tier quotas with automated bulk signups

We reserve the right to suspend or terminate accounts that violate these rules.

5. Biometric consent — your responsibility

FaceLearn.io provides the technical infrastructure for face-based verification. You are responsible for obtaining legally valid consent from every individual whose face you enroll.

Depending on your jurisdiction, this may require:

• Written or explicit consent before enrollment
• Clear disclosure of what the biometric data will be used for
• An easy way for individuals to withdraw consent and request deletion
• Compliance with laws such as GDPR (EU), BIPA (Illinois), PDPA (Singapore/Thailand), or your local equivalent

We provide tools to help you comply (audit logs, deletion APIs, encryption), but the legal obligation to obtain consent is yours.

6. Plans and billing

• Paid plans renew automatically at the end of each billing period unless cancelled beforehand.
• You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period.
• We may change prices with at least 30 days' notice. Existing subscribers keep their price until their next renewal after the notice period.
• Prices are exclusive of applicable taxes, which will be added where required by law.

7. Refunds

We offer a 14-day money-back guarantee on your first paid subscription. If you are not satisfied within the first 14 days, contact billing@facelearn.io for a full refund.

After the first 14 days, and for all subsequent renewals, payments are non-refundable. Partial months are not refunded. Free-tier usage is never billed.

8. Service levels

We aim for high availability but do not offer a formal Service Level Agreement (SLA) on the Starter or Growth plans. Enterprise customers may negotiate a custom SLA (targeting 99.9% monthly uptime with service credits) as part of their agreement.

Planned maintenance is announced in advance whenever possible. Emergency maintenance may occur without notice.

9. Intellectual property

• Our IP: The FaceLearn.io platform, source code, design, brand, and documentation are owned by us and protected by copyright and other laws. These Terms do not grant you any rights to our IP beyond what's needed to use the Service.
• Your data: You retain all rights to the data you upload or generate through the Service (including your face templates and the records you create). You grant us a limited license to process that data solely to provide the Service.
• Feedback: If you send us feedback or feature requests, we may use them without obligation to you.

10. Termination

You may terminate your account at any time from your account settings or by emailing support@facelearn.io.

We may suspend or terminate your account immediately if:

• You materially breach these Terms
• You fail to pay amounts due
• Your use poses a security risk to us or other customers
• We are required to by law

Upon termination, your access to the Service ends and your data is deleted according to our Privacy Policy. Sections of these Terms that by their nature should survive (IP, liability, indemnity, governing law) will survive termination.

11. Warranty disclaimer

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will be uninterrupted, error-free, or completely secure
• Face verification will be 100% accurate in all conditions (lighting, occlusion, spoofing attempts)
• Results obtained from the Service will meet your specific requirements

You are responsible for evaluating whether the Service is suitable for your use case and for complying with all laws applicable to your use.

12. Limitation of liability

To the maximum extent permitted by law, our total cumulative liability to you arising out of or relating to the Service will not exceed the total fees you have paid us in the 12 months preceding the event giving rise to the claim.

We are not liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunity
• Damages arising from third-party services or your own misuse of the Service

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless FaceLearn.io and its team from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any law or third-party right, including data-protection laws and the privacy rights of individuals whose faces you enroll
• Any content or data you submit to the Service

14. Governing law

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles. Any dispute arising from or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of the Philippines.

Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

15. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by a prominent notice on the platform at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
